Terms of Service
These Terms of Service explain the agreement between you and VirtuEdge IT Solutions when using our website, products, and services. They are designed to be fair, transparent, and easy to understand.

Section 1 — Acceptance of Terms
By accessing or using any VirtuEdge service, you agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, please discontinue use of our services immediately. These Terms apply to all clients, partners, and website visitors of VirtuEdge.

These Terms constitute a legally binding agreement between you and VirtuEdge. Your continued use of any service confirms acceptance.
Section 2 — Services Provided
VirtuEdge delivers AI-powered business automation solutions designed to drive revenue and operational efficiency. Our core service offerings include:
Lucy.AI
AI-powered voice receptionist providing 24/7 inbound call answering, appointment booking, and FAQ handling — always on, never missed.
Julian.AI
AI-powered lead reactivation via personalized, consent-compliant SMS campaigns designed to re-engage dormant prospects and drive bookings.
Revenue Recovery System
Done-for-you AI deployment, CRM integration, and ongoing performance optimization — fully managed to maximize client ROI.
Section 3 — Client Responsibilities
To ensure a compliant, effective, and mutually productive relationship, all clients agree to the following obligations:
Accurate Information
Provide truthful business and contact details at all times.
Compliant Lead Databases
All lead lists supplied must be legally obtained and consent-compliant under CASL, TCPA, and the Data Privacy Act 2012.
Lawful Use Only
VirtuEdge services must not be used for any unlawful, harmful, or deceptive purposes.
Deal Reporting
Closed deals originating from Julian.AI campaigns must be reported within 5 business days for accurate performance fee calculation.
Active Payment Method
Clients must maintain a valid payment method on file at all times to ensure uninterrupted service delivery.
Section 4 — Payment Terms
Subscription Billing
Monthly or annual fees are billed in advance via Stripe. Invoices are issued at the start of each billing cycle.
Performance Fees
Julian.AI bookings, show-up fees, and close commissions are invoiced monthly based on confirmed activity reports.
Setup Fee
A one-time setup fee may apply per AI agent as specified in your Order Form at the time of signup.
Late Payment Interest
Overdue balances accrue interest at 1.5% per month from the due date until full payment is received.
Service Suspension
Services may be suspended after 7 days of non-payment. Clients will receive a 48-hour notice prior to suspension.
Section 5 — Service Availability
VirtuEdge is committed to delivering reliable, high-availability services. Our uptime commitments and maintenance practices are outlined below.

Third-Party Liability
VirtuEdge is not liable for outages caused by OpenAI, Twillio, Lead Connector, or Stripe.
Section 6 — Intellectual Property
VirtuEdge Ownership
All VirtuEdge systems, AI scripts, workflow templates, and brand assets remain the exclusive intellectual property of VirtuEdge. Unauthorized reproduction or distribution is strictly prohibited.
White-Label Partners
Partners authorized under a signed Master Service Agreement (MSA) may rebrand services solely within the scope and conditions defined therein.
Client Data Ownership
Clients retain full ownership of their own data, lead databases, CRM records, and business information at all times. VirtuEdge does not claim any rights to client-provided data.

Your data is always yours. VirtuEdge acts as a processor, not an owner, of all client-supplied information.
Section 7 — Confidentiality
Both VirtuEdge and its clients agree to maintain strict confidentiality over all non-public information exchanged during the business relationship. This includes — but is not limited to — pricing structures, client data, system configurations, and proprietary workflows.
Scope of Obligation
Confidentiality obligations apply to both parties equally and cover all information designated as confidential or reasonably understood to be so.
Survival Period
This obligation survives contract termination for 2 years, ensuring protection of sensitive information well beyond the active engagement period.
Section 8 — Limitation of Liability
VirtuEdge IT Solutions liability is limited to the extent permitted by applicable law. The following exclusions and caps apply to all service agreements:
Excluded Damages
Indirect, incidental, or consequential damages of any kind.
Revenue loss not directly and solely caused by VirtuEdge.
Outcomes resulting from client-provided inaccurate or non-compliant data.
Liability Cap
Total aggregate liability to any client shall not exceed the fees paid in the preceding 6 months of the date the claim arises. This cap applies regardless of the nature or basis of the claim.
Section 9 — Termination
Performance fees accrued prior to the termination date remain due and payable regardless of the reason for termination. Clients may request secure deletion of their data at any point within the 90-day retention window.
Section 10 — Governing Law & Disputes
Governing Law
These Terms of Service are governed exclusively by the laws of the Province of Alberta, Canada. All rights and obligations shall be interpreted in accordance with Alberta's applicable statutes and common law.
Dispute Resolution
Before initiating formal legal proceedings, both parties will attempt to resolve disputes through good-faith negotiation. If unresolved within 30 days, disputes will be escalated to management representatives. If still unresolved, disputes shall be subject to binding arbitration in Calgary, Alberta under SIAC rules.
Section 11 — Changes to These Terms
VirtuEdge reserves the right to update or modify these Terms at any time. All active clients will receive 30 days written notice before any changes take effect. Continued use of VirtuEdge services following the effective date of an update constitutes full acceptance of the revised Terms.
